1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the website www.veloura.in and the fabric design services offered by Veloura, a premium fabric design studio operated by Dhara Vyas, based in Ahmedabad, Gujarat, India. By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, please do not use our website or services.

Veloura reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the website or services following any changes constitutes your acceptance of the revised Terms.

2. Services Provided

Veloura offers professional fabric design services across nine premium fabric categories: Silk, Cotton, Khadi Cotton, Organza, Chiffon, Taffeta, Jute, Georgette, and Tissue Silk. Our services include but are not limited to:

• Custom fabric design consultation and briefing sessions with designer Dhara Vyas
• Original design concept development including motifs, colour palettes, and pattern layouts
• Design execution on client-specified or Veloura-sourced fabric materials
• Repeat pattern design for commercial fabric production
• Bridal and occasion-specific fabric design commissions
• Fashion collection fabric design for designers, boutiques, and retailers
• Remote design consultation services via email, WhatsApp, and video call
• Sample creation and dispatch for client approval prior to full commission

3. Commission Process and Agreements

All design commissions at Veloura are governed by a separate commission agreement that outlines project-specific terms including scope, timeline, pricing, revision rounds, and delivery specifications. These project-specific agreements supplement but do not replace these general Terms and Conditions.

A commission is considered confirmed only upon receipt of the advance payment as specified in the commission agreement. Veloura reserves the right to decline any commission at its discretion, without obligation to provide a reason. Enquiries submitted through our website or via WhatsApp do not constitute confirmed orders or contractual commitments.

4. Pricing and Payment

All prices quoted by Veloura are in Indian Rupees (INR) unless otherwise specified. Pricing is bespoke and determined on a project-by-project basis following a design brief and consultation. Indicative pricing provided during initial discussions is not binding and may change upon receipt of a detailed brief.

• Standard commissions require an advance payment of 50% of the total agreed fee upon confirmation of the commission
• The balance payment is due upon completion and prior to delivery or handover of the final design
• For larger commercial commissions, milestone-based payment schedules may be agreed upon in writing
• All payments are non-refundable except in circumstances explicitly described in our Cancellation and Refund Policy (Section 6)
• Veloura accepts payment via bank transfer, UPI, and other methods as agreed at the time of commission

5. Intellectual Property Rights

All design work created by Dhara Vyas and Veloura is protected by applicable intellectual property laws including copyright. The intellectual property implications of each commission are governed as follows:

• Upon full payment of all fees due, the client receives a licence to use the commissioned design for the purpose agreed in the commission brief
• For exclusive commissions (where the client has paid for exclusivity), Veloura transfers full ownership of the design copyright to the client upon final payment
• For non-exclusive commissions, Veloura retains the right to use the design in its portfolio, on its website, and in promotional materials
• Veloura retains all rights to its underlying design methodologies, techniques, and any pre-existing design elements incorporated into a commission
• Clients may not reproduce, distribute, sublicense, or create derivative works from Veloura's designs without explicit written permission, except for the usage rights specifically granted in the commission agreement
• The Veloura name, butterfly logo, and tagline "The Art of Love" are proprietary marks of Veloura and may not be used without written permission

6. Cancellations and Refunds

Given the bespoke, custom nature of Veloura's design services, cancellations are governed by the following policy:

• Cancellations made within 48 hours of commission confirmation and before any design work has commenced may be eligible for a full refund of the advance payment, at Veloura's discretion
• Cancellations made after design work has commenced will be charged for the proportion of work completed, and any balance above this amount from the advance payment may be refunded
• Cancellations after design approval or after fabric work has commenced are not eligible for any refund of advance or balance payments
• Veloura reserves the right to cancel a commission in extraordinary circumstances, in which case a full refund of all payments received will be provided
• Refunds, where applicable, will be processed within 14 business days via the original payment method

7. Revisions and Design Approval

The number of design revision rounds included in each commission is specified in the project agreement. Additional revision rounds beyond the agreed number may be charged at an hourly or per-revision rate. Approval of a design concept, colour palette, or pattern at any stage of the commission process constitutes the client's agreement to proceed with that direction, and Veloura will not be held responsible for design choices approved by the client.

8. Delivery and Timelines

Timelines for commission completion are estimated at the time of briefing and confirmed in the project agreement. Veloura makes every effort to meet agreed timelines; however, timelines are estimates and not guarantees. Delays due to client revisions, late approval, late provision of required materials, or circumstances beyond Veloura's control do not constitute a breach of contract. Veloura will communicate any significant delays promptly and work to agree a revised timeline with the client.

9. Website Use

You may use www.veloura.in for lawful purposes only. You agree not to use the website in any way that violates applicable laws or regulations, to transmit unsolicited communications, to attempt to gain unauthorised access to any part of the website, or to engage in any conduct that could damage, disable, or impair the website or its servers. All content on the website including text, images, graphics, design, and code is the property of Veloura and may not be reproduced without written permission.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Veloura shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you for the specific commission giving rise to the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, specifically the laws of the State of Gujarat. Any disputes arising from these Terms or your use of Veloura's services shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.
